End User License Agreement (EULA)

This End User License Agreement (the "EULA") is a legal agreement between you (an individual or a legal entity) and Teressoft Pty Ltd ("Teressoft", "we", "us") for use of the Phorvec MCP server software distributed as a signed binary (the "Software"). By downloading, installing, copying, activating, or using the Software, you agree to be bound by this EULA. If you do not agree, do not download, install, or use the Software.

Use of the phorvec.com website and your subscription are also governed by the Terms of Service. Data we collect is described in the Privacy Policy.


1. Definitions

  • "Software" — the Phorvec MCP server binary distributed by Teressoft from phorvec.com, including any updates we make available. Each tier is a distinct build: paid-tier features physically are not present in lower-tier binaries.
  • "Community Tier" — the free tier, distributed without account registration from phorvec.com/download.
  • "Paid Tier" — the MCP Pro, MCP Max, Team, and Enterprise tiers, each of which requires an active subscription and a valid licence key.
  • "Enterprise Commercial Licence" — a separately executed Order Form referencing the Phorvec commercial licence agreement, required for Embedded Deployment, Air-Gapped Operation, or OEM Redistribution as defined in §4.
  • "Device" — a single physical or virtual machine on which the Software runs.
  • "Deployment" — for the Team and Enterprise tiers, a centrally hosted instance of the Software identified by a nexus.json project root.

2. License Grant

2.1 Community Tier

Subject to your compliance with this EULA, Teressoft grants you a non-exclusive, non-transferable, non-sublicensable, royalty-free licence to install and use the Community Tier of the Software, on any number of Devices that you own or control, for any lawful purpose — including internal commercial use within your organisation.

Community Tier use does not require an account or a licence key. There is no per-seat limit and no usage cap for personal or internal commercial use.

2.2 Paid Tiers (MCP Pro, MCP Max, Team, Enterprise)

Subject to your compliance with this EULA and your active subscription under the Terms of Service, Teressoft grants you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Paid Tier of the Software corresponding to your subscription:

  • MCP Pro / MCP Max — flat monthly per individual; install on any number of Devices that are operated by the licensed individual.
  • Team / Enterprise — per Deployment (project); one licence covers the team's centrally hosted instance and all Devices that connect to it through MCP transports.

Paid Tier use requires a valid licence key, activated either online through our activation service or offline via an Air-Gapped Licence File (where supported by your Order Form).

2.3 Termination of Licence on Non-Payment

If your subscription lapses (whether by cancellation, non-payment, or expiry), the licence to use the Paid Tier features ends on the date your paid-up period expires. The Software will continue to operate in Community Tier mode (or in air-gapped-fallback mode where the Order Form grants perpetual fallback for Enterprise customers; see §4.2).

3. Restrictions

You may not, and you may not permit any third party to:

  1. Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, object code, or underlying ideas, algorithms, file formats, or non-public APIs of the Software, except to the extent that this restriction is prohibited by applicable law (e.g., for interoperability under EU Directive 2009/24/EC, in which case you must first request the necessary information from us in writing).
  2. Circumvent any technical protection, licence validation, tier-separation, self-checksum, or signature verification mechanism in the Software.
  3. Use a Paid Tier beyond the scope of your active subscription (e.g., using a Pro key on more Devices than your subscription covers, or sharing a key with users outside the licensed individual/team).
  4. Redistribute, sublicense, sell, rent, lease, or lend the Software, the licence keys, or any associated activation files, except as expressly permitted under §4 (Enterprise Commercial Licence) or by a separate written agreement.
  5. Remove or alter any copyright, trademark, signature, or proprietary notice on the Software.
  6. Use the Software to violate any law, regulation, or third-party right, or in any manner inconsistent with the Terms of Service §5 (Acceptable Use).
  7. Use the Software to operate critical-failure systems (life support, nuclear facilities, weapons systems, air traffic control) without an Enterprise Commercial Licence that explicitly covers such use.

4. Enterprise Commercial Licence — Additional Rights

The following uses are not granted by the Community Tier licence or by an MCP Pro, MCP Max, or Team subscription. They require an Enterprise Commercial Licence executed via a signed Order Form referencing the Phorvec commercial licence agreement.

4.1 Embedded Deployment

Bundling or installing the Software inside a hardware product you ship or operate as part of an embedded system — including drones, vehicles, robots, industrial controllers, kiosks, edge devices, gaming hardware, and similar — requires an Enterprise Commercial Licence.

4.2 Air-Gapped Operation and Offline Licence Files

Running the Software in an air-gapped environment with offline-verified licence files (the "Licence File V1" format described in the Software documentation), including host binding (machine fingerprint, VIN, device serial, or hostname) and perpetual air-gapped fallback after subscription end, requires an Enterprise Commercial Licence.

4.3 OEM Redistribution

Redistributing the Software as part of a product you sell or otherwise distribute to third parties — including bundling the Software with hardware you manufacture — requires an Enterprise Commercial Licence.

Without an Enterprise Commercial Licence, the Community, MCP Pro, MCP Max, and Team tiers grant only the right to install and use the Software for the licensee's own purposes; they do not grant redistribution rights.

5. License Keys and Activation

For Paid Tiers:

  • We will issue you one or more licence keys after a successful subscription purchase. Keys are delivered by email to the billing address on the account.
  • The Software may transmit limited activation data (licence key, machine fingerprint, version, IP, timestamp) to our activation service. This is described in the Privacy Policy §2.1.
  • You are responsible for safeguarding licence keys. Treat them like passwords. If a key is leaked or used outside the scope of your subscription, we may revoke it and issue a replacement.
  • Air-gapped customers with an Enterprise Commercial Licence receive offline Licence Files that verify locally on-device with no network transmission.

6. Updates

We may provide updates, bug fixes, and security patches for the Software. Subject to the tier you are subscribed to, updates may be delivered automatically or via the account dashboard. Updates are part of "the Software" and are subject to this EULA. We are not obligated to provide updates indefinitely; we may end-of-life specific versions with reasonable notice.

7. Open-Source and Third-Party Components

The Software may incorporate open-source and third-party components, each subject to its own licence. A notice file accompanying each release lists these components and their licences. The licences for those components govern your rights to those components specifically; the rest of the Software is governed by this EULA.

8. Ownership

The Software is licensed, not sold. Teressoft and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly stated in this EULA.

The Phorvec name, logo, and signed binary release manifests (phorvec-mcp.manifest.json) are trademarks and signing infrastructure of Teressoft Pty Ltd.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "WITH ALL FAULTS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.

Nothing in this EULA excludes or limits any guarantee, warranty, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Teressoft is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Software, even if advised of the possibility.
  • Teressoft's total aggregate liability arising out of or related to the Software is capped at:
    • For Community Tier use: AUD 100.
    • For Paid Tier use: the greater of (a) the amount you paid us for the subscription in the 12 months preceding the event giving rise to the claim, or (b) AUD 100.

These limits do not apply to (a) fraud or wilful misconduct, (b) infringement of intellectual property by Teressoft, or (c) liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Teressoft, its officers, directors, employees, and agents, from any claim, demand, or damage (including reasonable legal fees) arising out of (a) your breach of this EULA, (b) your use of the Software in violation of law or third-party rights, or (c) any redistribution or embedded use of the Software not authorised under §4.

12. Export Controls and Sanctions

You agree not to export, re-export, or transfer the Software, directly or indirectly, to any country or party in violation of applicable export-control or sanctions laws, including those of Australia, the United States, the European Union, and the United Kingdom. You represent that you are not located in, and are not a national of, any sanctioned country, and that you are not on any restricted-party list.

13. U.S. Government End Users

If you are a U.S. government end user, the Software is "commercial computer software" and "commercial computer software documentation", licensed with only those rights granted to all other end users pursuant to the terms of this EULA, in accordance with FAR 12.212 and DFARS 227.7202.

14. Termination

This EULA is effective until terminated. Your rights under this EULA terminate automatically if you breach any term. Teressoft may also terminate this EULA on notice for any material, uncured breach. On termination:

  • You must stop using and destroy or uninstall all copies of the Paid Tier Software in your possession or control.
  • You may continue to use the Community Tier under §2.1.
  • Provisions intended to survive (including §3, §8, §9, §10, §11, §12, §15) continue in force.

15. Governing Law

This EULA is governed by the laws of Australia without regard to conflict-of-law principles. You and Teressoft submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia for any dispute arising out of this EULA. Nothing in this section deprives you of any mandatory protection afforded by the law of your country of habitual residence.

16. General

  • Entire agreement — This EULA, together with the Terms of Service and any applicable Enterprise Commercial Licence Order Form, is the entire agreement between you and Teressoft regarding the Software and supersedes any prior agreement on the same subject. In the event of a conflict, the order of precedence is: (1) signed Order Form, (2) this EULA, (3) Terms of Service.
  • Severability — If any provision is unenforceable, the remainder remains in effect.
  • No waiver — Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment — You may not assign this EULA without our written consent. We may assign it to an affiliate or in connection with a merger, acquisition, or sale of assets.
